End-User License Agreement
NEXSUS Plugin for Autodesk Revit
IMPORTANT: By selecting “I Accept,” downloading, installing, activating or using the Software, you agree to this Agreement. If you do not agree, do not download, install, activate or use the Software.
1. Definitions
“Software” means the NEXSUS plugin developed for use with Autodesk Revit, including installers, executable files, assemblies, documentation, updates, fixes and related components. “Account” means your NEXSUS account. “Subscription” means any paid, trial, promotional, monthly, yearly or other access plan. “Licensed Device” means a computer authorized to use the Software.
2. Grant of License
Subject to payment of applicable fees and compliance with this Agreement, NEXSUS grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to install and use the Software on the number of Licensed Devices permitted by your Subscription for lawful professional, educational, internal business or commercial project purposes.
The Software is licensed, not sold. All rights not expressly granted are reserved by NEXSUS.
3. Subscription and Device Limits
Your access may be limited by your selected plan, subscription period, payment status and purchased device quantity. You may not share one license among more users or devices than permitted or use technical or manual methods to bypass device limits.
4. Account Security
You are responsible for accurate registration information, protecting your password and account credentials, preventing unauthorized access, and promptly notifying NEXSUS of suspected unauthorized use.
5. License Verification and Internet Access
The Software may communicate with NEXSUS systems to authenticate your account, verify subscription and payment status, activate or deactivate devices, validate licenses, apply device restrictions, detect unauthorized use, obtain configuration information and support account functionality. Internet access may be required for these functions.
You may not interfere with or bypass authentication, licensing or security mechanisms.
6. Restrictions
Except where applicable law expressly permits otherwise, you may not:
- Copy, modify, translate or create derivative works from the Software except as expressly permitted.
- Reverse engineer, decompile, disassemble or attempt to discover source code.
- Circumvent license validation, authentication, security or device-management controls.
- Rent, lease, lend, resell, distribute, publish, sublicense or commercially host the Software without authorization.
- Remove copyright, trademark, ownership or proprietary notices.
- Use the Software for unlawful, fraudulent, abusive or malicious purposes.
- Misrepresent the Software as being developed, endorsed or supported by Autodesk.
7. Intellectual Property
NEXSUS and its licensors retain all right, title and interest in the Software, source and object code, workflows, user interfaces, documentation, designs, branding, updates, licensing systems and related intellectual property. You retain ownership of your Revit project files and content.
8. Revit Project Data
The Software may access information in a Revit model as needed to perform commands selected by you. This may include walls, openings, dimensions, levels, families, views, sheets, parameters and other project information. Unless a feature clearly states otherwise, model processing is intended to occur in your local Revit environment.
Personal-information processing is governed by the NEXSUS Privacy Policy.
9. Professional Review and User Responsibility
The Software is a productivity and automation tool and is not a substitute for professional engineering, architectural, construction, safety, legal or regulatory judgment.
You are responsible for reviewing Software-generated results, checking dimensions and model changes, maintaining backups, confirming compliance with applicable codes and project requirements, and ensuring qualified professional review where required. You should test important functions on a backup or non-production copy before applying them to critical project files.
10. Compatibility and Third-Party Software
The Software requires a separately licensed compatible version of Autodesk Revit. NEXSUS does not provide an Autodesk license and does not guarantee compatibility with every Revit version, Windows configuration, third-party add-in, virtual environment or future Autodesk release.
11. Updates and Changes
NEXSUS may provide updates, fixes, security patches, compatibility changes or new versions. Updates may modify, replace or remove features, and certain updates may be required for security, compatibility or continued licensing.
12. Support
NEXSUS may provide reasonable support for installation, account access, license activation, device management, reproducible Software errors and general usage. Unless separately agreed in writing, no specific response or resolution time is guaranteed.
13. Fees, Payments, Cancellation and Refunds
Prices, billing periods, device quantities, taxes, payment methods and renewal conditions are presented during purchase or in an applicable quotation or order. Payments may be processed through eFAWATEERcom or another payment channel.
Cancellation and refund conditions are governed by the NEXSUS Cancellation & Refund Policy and mandatory applicable law.
14. Suspension
NEXSUS may temporarily suspend access when reasonably necessary to investigate suspected fraud or unauthorized license use, address reversed or unpaid transactions, protect system security, prevent harm, comply with law or investigate a material breach.
15. Termination
This Agreement begins when you accept it, download, install, activate or use the Software. Your paid license rights continue only during the applicable Subscription period and while your Account remains compliant.
Upon termination, you must stop using the Software and remove unauthorized copies. Provisions concerning ownership, restrictions, professional responsibility, warranty disclaimers, liability and governing law survive as appropriate.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEXSUS DISCLAIMS WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, COMPATIBILITY AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Nothing in this Agreement excludes a right or warranty that cannot lawfully be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXSUS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFITS, REVENUE, DATA, PROJECT FILES, PRODUCTIVITY OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXSUS'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO NEXSUS FOR THE AFFECTED SUBSCRIPTION DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation does not apply where liability cannot lawfully be limited or excluded.
18. Feedback
If you voluntarily provide suggestions, ideas, bug reports or feature requests, you grant NEXSUS the right to use that feedback to develop, improve and support its products. This does not transfer ownership of your project files or confidential business information.
19. Compliance With Law
You must use the Software in compliance with applicable laws, regulations, professional obligations and contractual requirements.
20. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law principles. Subject to mandatory consumer or jurisdictional rules, disputes arising from this Agreement or the Software will be subject to the competent courts of Amman, Jordan.
21. Changes to This Agreement
NEXSUS may update this Agreement to reflect changes in the Software, subscriptions, payment methods, security, law or business practices. Material changes may be communicated through the website, Software, account or email as appropriate.
22. Severability and No Waiver
If a provision is found invalid or unenforceable, the remaining provisions remain effective. A failure or delay in enforcing a provision does not waive the right to enforce it later.
23. Entire Agreement
This Agreement, together with the Privacy Policy, Cancellation & Refund Policy, applicable purchase terms and any separately accepted written terms, forms the agreement concerning your use of the Software.
24. Autodesk Trademark and Affiliation Notice
Autodesk and Revit are trademarks or registered trademarks of Autodesk, Inc. and/or its subsidiaries and affiliates. NEXSUS is an independent third-party software provider and is not affiliated with, endorsed by, sponsored by or otherwise approved by Autodesk, Inc. Autodesk does not provide technical support for the NEXSUS Software.
